1. Purpose and acceptance

These Terms govern access to and use of Nexus Legal (the "Service"), a SaaS multi-agent legal analysis platform operated by Daniel Jiménez.

By registering, accessing or using the Service, you declare that you have read, understood and fully accepted these Terms. If you do not agree, do not use the Service.

The Service is directed at legal professionals over 18 years of age. Use by non-professionals or minors is prohibited.

2. Service description

Nexus Legal is a SaaS platform that uses multiple AI agents (language models from providers such as Anthropic, OpenAI, Google and DeepSeek) to analyse legal documents and produce structured reports on case law, doctrine, risks and procedural aspects.

The Service includes a cross-auditing architecture (Node A — Analyst, Node B — Auditor, Node C — Red Team optional) that validates analyses to reduce errors and bias of individual models.

The Service operates on a prepaid credits model: users purchase a balance that is consumed according to the type and complexity of each analysis. Prices and credit costs for each operation are published on the platform.

3. Account and credentials

Accessing the Service requires creating an account with accurate and complete identifying and tax data. Inaccurate information may result in suspension or cancellation of the account.

The user is responsible for the confidentiality of their credentials. Any suspicion of unauthorised access must be notified immediately to support@nexusquantum.legal.

Each account is personal and non-transferable. Corporate accounts may be associated with a legal entity by registering as "Company" during the onboarding process.

4. Acceptable use

The user undertakes to use the Service exclusively for lawful and professional purposes. The following is expressly prohibited:

(a) Uploading documents containing third-party data without a valid legal basis for its processing (e.g., without consent, legal obligation or overriding legitimate interest).

(b) Using the Service to generate analyses intended for illegal, fraudulent, defamatory or rights-infringing activities.

(c) Attempting to circumvent security measures, rate limiting, antibot protection or credit quotas.

(d) Automating use of the Service via bots or scripts without express authorisation.

(e) Reproducing, distributing or reselling the Service or the reports generated by it without authorisation.

(f) Reverse-engineering prompts, the multi-agent architecture or orchestration algorithms.

(g) Extracting, copying, reproducing or downloading, in a massive, systematic or automated manner (via crawlers, bots, scripts or other means), the case law, legislation, their metadata, embeddings, citation graphs or any substantial part of the Service's databases.

(h) Reusing, redistributing, reselling, sublicensing, publishing or making available to third parties the content of such databases or any work derived from them, whether or not for profit.

(i) Using the results, citations, excerpts or content obtained from the Service to train, fine-tune, evaluate or feed any other artificial-intelligence model, database or competing service, nor storing or caching them persistently beyond the internal use necessary for the user's own case file.

Breach of these obligations entitles Daniel Jiménez to suspend or cancel the account without right to refund, without prejudice to applicable legal actions.

5. Protection of the legal databases

The case-law and legislation databases accessible through the Service —together with their structure, selection, normalisation, metadata, validity annotations, embeddings and citation graphs— constitute a database protected by the «sui generis» right (Directive 96/9/EC and equivalent national law), resulting from a substantial investment by Daniel Jiménez in obtaining, verifying and presenting it.

Access to the corpus is granted under a limited, personal and non-transferable licence to use, tied to the user's account and, where applicable, firm. It does not transfer ownership of, or any right over, the databases. Even where judicial decisions and statutes, in their official version, are in the public domain, the compilation, enrichment and presentation offered by the Service are protected.

The extraction or re-utilisation of all or a substantial part —assessed quantitatively or qualitatively— of the content of those databases is prohibited, as is the repeated and systematic extraction or re-utilisation of insubstantial parts that conflicts with a normal exploitation of the database or unreasonably prejudices the legitimate interests of Daniel Jiménez. Daniel Jiménez reserves the right to pursue all available legal actions against any infringement.

6. Prepaid credits, pricing and billing

The Service is paid for by prepaid credits purchased by the user. Prices are indicated on the platform in local currency and may vary by volume purchased and user jurisdiction.

Payments are processed via Paddle (credit card) and NowPayments (cryptocurrencies). Daniel Jiménez does not store full card data; the payment process is carried out entirely through provider gateways.

Credits do not expire during the 24 months following purchase, unless expressly stated in promotional campaigns. After that period, they may be forfeited.

Credits are non-refundable unless the Service could not be provided due to causes attributable to Daniel Jiménez (prolonged technical unavailability, proven billing error).

Invoices are issued electronically with the tax data provided at registration. It is the user's responsibility to keep such data up to date.

7. Zero Retention and processing

Nexus Legal operates under a dual architecture: Analysis Mode (Zero Retention) — documents uploaded for analysis are processed entirely in RAM during the active session, without being persisted in database or disk. Case File Mode (persistent) — documents added to a digital Case File are stored encrypted in the database (AES-256), linked to the user's account and protected by Row Level Security; the user may delete them at any time.

In Analysis Mode, once analysis is complete and the report delivered, documents disappear from the system without possibility of recovery. Prompts sent by agents to LLM providers may be logged by those providers according to their own policies, although they have contractually committed not to use them for model training.

Before sending to LLM providers, we apply a PII Gatekeeper anonymisation layer that replaces direct identifiers with opaque codes. This layer reduces risk but does not guarantee the complete elimination of residual personal data.

The user is responsible for assessing whether the sensitive nature of a specific document is compatible with processing by US-based LLM providers, even with EU Standard Contractual Clauses in force. For documents with particularly sensitive data (special categories under Art. 9 GDPR, critical trade secrets), the user must apply their own professional judgement.

8. Intellectual property

The software, prompts, multi-agent architecture, visual design and Nexus Legal brand are the property of Daniel Jiménez or are duly licensed, and are protected by intellectual and industrial property legislation.

The user retains full ownership of the original documents they upload. No licence over such content is granted to Daniel Jiménez beyond what is strictly necessary to process the requested analysis.

The reports generated by the Service are deliverables of the performance and are the property of the user regarding substantive content. Daniel Jiménez reserves ownership over the report structures, templates, codes and visual format, as well as technical execution metadata.

9. Disclaimer — not legal advice

Analyses generated by Nexus Legal are tools to support professional decision-making and DO NOT constitute legal advice within the meaning of Article 1 of Spanish Law 1/1996 on Legal Aid, nor equivalents in other jurisdictions.

Professional responsibility for any decision based on the analyses always lies solely with the qualified human user. The Service does not replace review by a licensed attorney.

Language models may produce "hallucinations" (false statements), cite non-existent case law or misapply regulations. Despite cross-auditing controls, the user is obliged to independently verify all critical references before making any decision with legal or financial effects.

Scope of deterministic verification. Nexus Legal's deterministic citation verification —the automated cross-checking of statutory and case-law references against the official corpus— is only guaranteed for the jurisdictions and matters whose legislation and case law are active and integrated in the platform at the time of analysis. Outside that scope (jurisdictions, statutes or rulings not incorporated into the corpus), references rely on the language model's knowledge, are delivered as unverified, and remain subject to the user's professional review. Daniel Jiménez does not guarantee citation accuracy or any deterministic result outside the active corpus. Even within the active corpus, verification confirms the textual fidelity of the citation against the official source; it is not a judgment on its legal applicability to the case (validity as of the relevant facts' date, subsequent case law, ratio decidendi, or completeness of the argument), which rests solely with the user's professional judgment.

Daniel Jiménez is not a law firm, is not registered with any bar association, and does not establish an attorney-client relationship with users. Information shared with the Service does not enjoy the attorney-client privilege proper to that relationship.

10. Limitation of liability

To the maximum extent permitted by applicable law, Daniel Jiménez shall not be liable for indirect damages, loss of profits, data loss, loss of business opportunities or moral damages arising from use of the Service.

Daniel Jiménez's total cumulative liability to the user for any cause shall be limited to the amount actually paid by the user in the 12 months preceding the event giving rise to the damage.

These limitations do not apply in the case of wilful misconduct, gross negligence or bodily injury, nor where applicable law expressly prohibits such limitations (e.g., against consumers in some EU jurisdictions).

The user acknowledges that artificial intelligence is an emerging technology with inherent limitations. The Service is used "as is" and without warranties of accuracy, completeness or fitness for a specific purpose, beyond warranties expressly set forth in these Terms.

11. Indemnification

The user undertakes to indemnify and hold Daniel Jiménez harmless against third-party claims arising from (a) breach of these Terms or applicable law; (b) use of the Service in violation of third-party rights; (c) illegal, defamatory or infringing nature of uploaded documents; (d) negligent or abusive use of generated reports.

This indemnity obligation includes reasonable legal defence costs, fees, compensation and any other expenses incurred by Daniel Jiménez as a result of such claims.

12. Suspension and termination

Daniel Jiménez may suspend or cancel access to the Service, with or without prior notice, in case of (a) breach of these Terms; (b) non-payment or billing incident; (c) fraudulent or abusive use; (d) requirement by competent judicial or administrative authority.

The user may cancel their account at any time by writing to support@nexusquantum.legal. Cancellation entails deletion of personal data in accordance with the Privacy Policy and does not give rise to credit refund, except as indicated in Section 5.

Provisions on intellectual property, limitation of liability, indemnification, applicable law and jurisdiction shall survive termination of the contractual relationship.

13. Modifications

Daniel Jiménez may modify these Terms to adapt to legal, technological or business model changes. Substantial modifications will be notified to the user by email with reasonable advance notice.

Continued use of the Service after notification implies acceptance of the new version. If the user does not agree with the changes, they may cancel the account at no cost before the new version enters into force.

The current version will always be published at this URL with the last-updated date visible.

14. Applicable law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates (Emirate of Dubai) regarding the contractual relationship, as the operator is resident in Dubai (UAE).

Notwithstanding the above, with respect to consumers resident in the European Union, the mandatory provisions of the consumer law of the user's country of residence shall apply, as well as European data protection (GDPR) and digital services (DSA) regulations where applicable.

For any dispute, the parties will attempt amicable resolution via support@nexusquantum.legal. After 30 days without agreement, they will submit to the competent courts, which for EU users will be those of their domicile, and otherwise those of Dubai.

15. Final provisions

If any provision of these Terms is held to be null or unenforceable by decision of a competent authority, the remaining provisions shall remain in force.

Tolerance or failure to exercise a right by Daniel Jiménez shall not imply waiver thereof.

These Terms constitute the entire agreement between the parties and replace any prior communication or agreement.
